We are a leading multinational group headquartered in Spain, with operations across multiple jurisdictions and a strong presence in both mature and emerging markets. As part of our continued growth and strategic transformation, we are seeking a highly qualified and internationally experienced Head of Corporate Legal affairs to join our Legal Department at our headquarters in Madrid.
Responsibilities
- Provide expert legal advice on corporate law matters across all jurisdictions in which the company operates.
- Lead and coordinate corporate governance across the group, ensuring alignment with local and international legal requirements.
- Provide legal support to the internal M&A team transactions, including due diligence, structuring, documentation, and post-deal activities.
- Advise on and implement complex corporate restructuring projects, such as spin-offs, mergers, capital increases, and intragroup reorganizations.
- Provide legal support to all group entities on KYC (Know Your Customer) requirements and related documentation.
- Intercompany relationships, including drafting and negotiating intercompany agreements and service-level arrangements.
- Financing agreements, including intra-group loans, external financings, guarantees, and related corporate authorizations.
- Lead the execution of corporate projects by managing and coordinating relationships with external law firms, ensuring high-quality legal deliverables, cost control, and timely execution.
- Draft, review, and negotiate a wide range of corporate agreements.
- Collaborate with internal teams on global legal matters and corporate initiatives.
- Act as a strategic legal partner to senior leadership, identifying risks and providing proactive legal solutions.
Qualifications
Law degree obtained in Spain and admitted to practice in Spain.A minimum of 7 years of post-qualification experience in corporate law, ideally in a relevant law firm and / or in-house experience.Proven international exposure, particularly in cross-border corporate transactions, group restructurings, and financing matters.Demonstrated ability to manage and lead relationships with external counsel in complex, high-value projects.Fluency in English is essential.Solid understanding of corporate governance and company law.Excellent communication, negotiation, and project management skills.Strong business acumen and ability to work in a fast-paced, multicultural environment.What We Offer
