Assistant General Counsel South & West Europe

Purpose of the role

The main purpose is to provide legal services and support for European countries including Spain, Italy, France, Portugal, Netherlands and to the BEMEA legal team in defined key areas. It will be a combination of both commercial and industrial areas. The position requires regular and direct contact with all levels of the businesses and in particular work closely with the business management teams to gain a deep understanding of their business strategies, environment, strategic legal issues, challenges and opportunities, key customers, competitors and suppliers;

Main Accountabilities

• Management: Management of relevant legal team members within the region depending on applicant .
• Commercial Documentation: Drafting and review of all forms of commercial contracts as required and utilized in the relevant Bunge business.
• Corporate: Manage all legal requirements for the corporate entities within the country responsibility.
• Disputes: Pre-litigation legal advice and assistance, including advising on, resolving and avoiding day-to-day disputes and problems including correspondence with counterparts and settlement negotiations to minimize risks and maximize legal rights of the company.
• Litigation case management: including handling and drafting pleadings for arbitration/litigation cases in-house and where external assistance is required in more complex cases, instructing and managing external counsel. Support on evaluating the merits of major court cases filed against or on behalf of the company and determining defense strategies.
• Transactional work: serve as legal advisor and/or support country lawyers on business transactions including M&A, JV and/or other transactional work as required.
• Compliance: working with the compliance department to ensure that the company conducts its business in compliance with applicable laws and internal policies.
• Business Relationship: The lawyer will need to develop a working partnership with the business by understanding the business, the key customers and suppliers and the industry environment as well as by proactively addressing issues faced and opportunities presented to the businesses.
• Legal Support Technology: Manage where required and support the Bunge approach on key technology solutions including Docusign, tracker and other systems as introduced.
• Representation: represent the organization before authorities, administrative or before quasi-judicial agencies; Legal Advice and Legislation: keep abreast of legislative changes that may affect the company and its affiliates

What are we looking for

We are looking for a 10 + years experience in an international law firm and/or as an in-house attorney in a multinational corporation in the areas of corporate/ commercial law, regulatory, industrial operations, mergers/acquisitions/joint ventures, and customer and supplier agreements. We are not just looking for a strong technical lawyer, we need someone who is able to support the business by being proactive, inquisitive and anticipating what is coming. That is needed to be our assistant general counsel who shows initiative and is responsive when it comes to business needs. You are a senior business partner, who is comfortable with automony, but also comfortable working closely with the regional/ global team to align, and using an orientation for detail to be successful. Due to the people at our offices you possess the adaptability to an international environment.

Skills and background

• Qualified lawyer in a European jurisdiction
• Fluent in English (written and oral)
• Good business sense.
• Ability to work cooperatively and collaboratively with others and to build relationships and trust
• Ability to prioritize and organize work effectively to meet deadlines.
• Excellent communication skills (both oral and written)
