General Counsel - Europe The General Counsel Europe will serve as the primary legal advisor for the European division of Americold. This role involves providing legal support on a broad spectrum of operational, commercial, and governance issues, with a focus on Corporate Compliance and Commercial Transactions. The position includes legal consultation, document review and drafting, and executing legal processes to uphold the organization's rights and obligations, under the guidance of the Chief Legal Officer and the Managing Director Europe.
Key responsibilities include :
Preparing and reviewing legal documents such as business-to-business service and warehousing contracts, vendor agreements, IT agreements, licensing, M&A purchase and sale agreements, real estate documents, and MOUs.
Offering legal advice to Commercial Finance and Business Development on new contracts, existing agreement interpretation, and dispute resolution.
Providing legal counsel to the Managing Director Europe, VP Finance, VP Human Resources, Engineering, and Real Estate teams on governance, development projects, property transactions, and zoning issues.
Supporting proactive programs to mitigate legal, regulatory, and reputational risks in areas like anti-bribery, competition law, data privacy, cybersecurity, and ESG.
Managing intellectual property issues, including international trademark registration and compliance monitoring.
Advising warehouse managers on legal and regulatory matters.
Engaging third-party legal counsel as needed, focusing on cost efficiency.
Collaborating with management on legal issues and representing the company in disputes.
The role reports directly to the Chief Legal Officer.
Qualifications Juris Doctorate or equivalent from an accredited law school.
Experience preferably includes both in-house and law firm roles, with a focus on large to medium-sized law firms or in-house counsel.
Licensed to practice law under applicable rules, with experience supporting European operations of a US multinational.
Strong cross-border expertise in commercial law, financial transactions, contracts, M&A.
Proficient in Microsoft Office and contract databases.
Excellent communication skills across cultures and languages, capable of advising senior executives and board members.
Deep understanding of compliance obligations, including GDPR and privacy laws.
Outstanding writing, organizational, negotiation, and interpersonal skills.
