IRIDIUM, Concesiones de Infraestructuras S.A., a leading international company in the development, financing, and long-term operation and maintenance of infrastructure projects, wholly owned by the ACS Group, is looking for a Senior Lawyer to join its Legal Department.

Profile

  • Senior lawyer specialized in infrastructures, concessions, and energy.
  • Extensive experience in bidding processes, M&A, corporate financing, and project finance.
  • Skilled in drafting and negotiating contracts.
  • Experience in managing commercial companies.
  • Ability to engage in operational aspects of the business.
  • Ability to work in a dynamic and global environment.

Duties and Responsibilities

  • Provide legal advice on the company's activities and those of its subsidiaries, collaborating with different departments across various stages of business.
  • Draft and negotiate financing contracts, security packages, structured financing (project finance), and refinancing.
  • Assist in bid preparation and project development, including advising on pre-qualification and bidding processes within PPP projects or similar structures, real estate, and energy sectors; draft and negotiate contracts such as MoU, EPC, O&M, construction contracts, offers, interface agreements, NDAs, and financing term sheets.
  • Offer advice on infrastructure and energy law, including regulatory law, project agreements, public contracts, and permits.
  • Manage corporate and commercial affairs of SPVs / concessionaire companies and handle M&A transactions (SPA, SHA, due diligence).
  • Coordinate proceedings before international courts and arbitration tribunals.
  • Oversee external legal counsel activities.

    • Requirements

  • Law Degree and registered as a lawyer; a double degree is desirable.
  • Additional qualifications such as MBA, LLM, or finance-related programs.
  • Bilingual in English (70% of work in English); experience working in English in an international setting required.
  • Proficiency in office automation tools for legal documentation and presentations.
  • 3-7 years of experience in international infrastructure, energy, and project finance operations, preferably including at least 3 years at a recognized law firm.
  • Experience advising on financial, commercial, and regulatory law.
  • Experience working with multidisciplinary teams and leading or collaborating in complex legal projects.
  • Litigation experience, mainly in administrative and commercial law.
