Legal M&A Counsel

Role We are looking for an experienced Legal M&A Counsel to join our SaaS Legal team. You will lead the legal stream for our M&A transactions across Europe together with the SaaS General Counsel, working closely with colleagues in M&A, PMI, tax, finance, and a Junior Legal M&A Counsel whom you will mentor.

Key Responsibilities

  • Lead the legal stream for the group’s M&A transactions (share and asset deals) end-to-end
  • Draft and negotiate transactional contracts (SPAs, SHAs, APAs, management agreements, earnout agreements, …)
  • Coordinate legal due diligence processes
  • Drive process optimisations together with the M&A, tax, and finance teams
  • Manage and coordinate internal and external legal advice on transactional matters

Requirements

Education & Professional Background

  • Law degree from a recognised institution
  • Minimum 5+ years of M&A legal experience
  • Qualified lawyer
  • Technical Skills

  • Solid background in M&A and experience with leading legal M&A processes
  • Self‑driven, proactive, and collaborative working style
  • Analytical and pragmatic mindset
  • Strong organisational and prioritisation skills
  • Ambition to take full responsibility for all transactional matters within the group
  • Language Requirements

  • Fluent in English (working language) + at least one other European language
  • Core Competencies

  • Ability to work independently while collaborating effectively across teams
  • Commercial mindset with understanding of business operations
  • Proactive approach to problem‑solving and risk management
  • Excellent stakeholder management and relationship‑building skills
  • Strong attention to detail and organisational capabilities
